The decision

A large diversified corporation is evaluating the acquisition of a target company in an adjacent market segment. The target has strong market position but faces operational challenges. The acquirer must choose between several approaches, each with different risk/reward profiles and regulatory hurdles.

Objective

Maximize expected NPV of the combined entity. Key uncertainties include regulatory approval, integration success, synergy realization, and market reaction to the deal announcement.

The options

Option 1: Hostile Takeover ($2B Premium Bid)

Launch an unsolicited bid at a significant premium to market price. Higher cost but forces the issue. Risk of regulatory scrutiny, hostile management, and culture clash during integration. If blocked, decide whether to increase the bid to $2.5B or walk away.

Option 2: Friendly Merger ($1.5B Negotiated)

Negotiate a mutually agreed merger at a lower price. Better regulatory outlook (65% approval vs 45% for hostile) and smoother integration, but still uncertain synergy realization and market conditions.

Option 3: Minority Stake 30% ($600M)

Acquire a 30% minority stake as a strategic investment. Very high regulatory approval probability (90%). Choose between active board involvement or passive financial investment. Lower risk but limited upside.

Option 4: Don't Acquire

Pass on the opportunity. No cost, no risk, no upside.

The decision tree

The tree has 3 decisions, 17 chance events and 37 outcomes. The best path is open: at every decision the best choice is marked, and the expected value beside each branch counts every cash flow from the start. Open any other branch to see what follows it.
